Mutual Non-Disclosure Agreement
You accept this agreement when you check the NDA box and upload a deal packet. Both sides are bound before a single page is read. The version you accepted and the time of acceptance are recorded with your upload.
1. Parties
This Mutual Non-Disclosure Agreement is between Sterling Quant ("we") and the person or entity uploading a deal packet ("you"). You accept it by checking the box and submitting an upload. Each party may disclose and receive Confidential Information.
2. Confidential Information
Confidential Information means everything you upload, including CIMs, tax returns, financial statements, ledger exports, the identity of the target business and its owners, and everything we deliver to you, including workbooks, analyses and the methods visible in them. It also includes the fact that you are evaluating a particular business.
3. Permitted use
We use your Confidential Information only to produce and deliver your model and to support you on that deal. You use ours only to evaluate your acquisition. Neither party may use the other's Confidential Information for any other purpose.
4. Protection
Each party protects the other's Confidential Information with at least reasonable care. We limit access to the people who build and verify your model, encrypt uploaded documents at rest, and never sell, share or disclose your documents to brokers, lenders, other searchers or any other third party.
5. No AI training
We do not use your documents or deal data to train, fine-tune or improve any machine-learning model, and we do not permit any service provider to do so.
6. Exclusions
Confidential Information does not include information that is or becomes public through no fault of the receiving party, was already lawfully known to it, is independently developed without use of the other's information, or is lawfully received from a third party without a duty of confidentiality.
7. Required disclosure
If the law or a court requires disclosure, the receiving party may disclose only what is required and, where legally permitted, will give the other party prompt notice so it can seek protection.
8. Retention and deletion
We delete uploaded documents automatically 30 days after receipt, or sooner on your written request. Encrypted backups, if any, are deleted on their normal cycle and remain protected under this agreement until then.
9. Your obligations to the seller
You confirm that you are permitted to share the documents you upload, including under any NDA you have signed with a broker or seller. We will treat them in a way consistent with that purpose.
10. Term
Obligations under this agreement last two years from your last upload, and for as long as we hold any of your documents, whichever is longer.
11. General
No license or ownership rights are granted except as stated. You own your documents and the model delivered to you after purchase. This agreement is the entire agreement on confidentiality between the parties for uploads made through this site.
