ChatGPT and Claude for CIM Analysis: What They Do Well and Where They Fall Short

ChatGPT and Claude are genuinely useful on a CIM for summarizing, screening and drafting broker questions. They are weaker as the source of the numbers in your model: scanned tables get misread, figures are not tied to the seller's tax return, and nothing links back to its page unless you ask and check. Use them to decide what to ask, not what to pay.

A CIM, the confidential information memorandum a business broker sends after you sign an NDA, is exactly the kind of long document AI tools are good at reading. Searchers on Searchfunder describe uploading a scoring guide and having ChatGPT or Claude score each deal against it, with the fair verdict that it "will never get it perfect, but it is a nice place to start." Others report the tools are not great with numbers. Both are true, and the trick is using them for the part they are good at.

What AI does well on a CIM

  • Summaries. Business model, customers, employees and the seller's story in a page.
  • Screening. Scoring the deal against your criteria, consistently, across dozens of CIMs.
  • Questions. Drafting the list of things the CIM avoids saying, for the broker call.
  • Spreadsheets. Both tools can now generate Excel files with working formulas.

Where it falls short

  • Scanned tables. Broker CIMs and seller tax returns are often scans. A misread digit looks exactly like a correct one, and it flows into every formula after it.
  • No tax return check. The CIM is the seller's marketing. An SBA lender underwrites to the filed 1120-S, and an AI summary of the CIM repeats the CIM's numbers rather than testing them.
  • No receipts by default. Unless you ask for page numbers and check them, you cannot tell your lender where a figure came from.
  • A different model every time. Layout and assumptions change from chat to chat, which makes deals hard to compare.

Three prompts that work

The pattern: ask for quotes and page numbers, forbid guessing, and keep the AI away from the math.

Screen against your box

Here is my acquisition criteria: [revenue range, EBITDA range, industries, max customer concentration, owner dependence]. Score this CIM against each criterion, quote the CIM text and page number behind each score, and list anything the CIM does not say.

Draft the broker questions

List the 15 questions a careful buyer would send the broker after reading this CIM, grouped by revenue, margins, add-backs, customers, employees and working capital. For each, cite the page that raised it.

Pull the financial table, with receipts

Extract the financial summary table into rows of: line item, year, amount, page number. Do not calculate anything. If a figure is unreadable or ambiguous, say so instead of guessing.

Before you upload a CIM: the NDA and your settings

Most CIM NDAs limit who you may share the document with. Whether pasting it into an AI tool counts depends on the wording, so read it first. Then check your plan:

  • ChatGPT: on Free, Plus and Pro, "Improve the model for everyone" is on by default and can be turned off in Data Controls. Business, Enterprise and API data is not used for training by default (OpenAI).
  • Claude: Free, Pro and Max users choose whether chats are used for training; Team, Enterprise and API are excluded (Anthropic).

The same question applies to us. Packets sent to Sterling Quant are covered by a mutual NDA accepted on upload, stored encrypted, never shared or sold, never used to train AI, and deleted after 30 days, or the same day if you ask.

A workflow that uses each tool for what it is good at

  1. Screen with AI. Score the CIM against your criteria and draft broker questions.
  2. Check the numbers against the return. Build it yourself with our free SBA deal model template, or send the packet and get Tab 1 free in 2 hours.
  3. Test financeability. Run the rebuilt EBITDA through the SBA DSCR calculator before you sign an LOI.
  4. Pay for the QoE only on the deal that survives, after the LOI.

Other tools searchers use

  • SoloSearcher: free for individual searchers; reads tax returns and proposes SDE add-backs for you to approve, with a deal CRM.
  • ETA IQ: a CRM and financial-modeling platform built for search funds.
  • Paid Excel templates, such as SBA 7(a) underwriting models sold on template marketplaces, if you prefer to start from someone else's structure.

Frequently asked questions

Can ChatGPT analyze a CIM?

Yes, for reading tasks: summarizing the business, scoring it against your criteria and drafting diligence questions. It is less reliable as the source of numbers for a model, especially on scanned tables, and it does not reconcile the CIM to the seller's tax return unless you give it both and check the work.

Is it safe to upload a CIM to ChatGPT or Claude?

It depends on your NDA and your plan settings. On consumer plans, chats may be used to improve models unless you turn that off (ChatGPT) or decline it (Claude); business and API plans are excluded by default. Read the NDA's limits on sharing with third parties before uploading anything.

Can ChatGPT or Claude build an Excel model from a CIM?

They can create spreadsheets with formulas. The model is only as good as the numbers they read from the PDF, and by default they do not tie each figure to its source page, so you still check every input against the CIM and the return.

What is the best AI prompt for CIM analysis?

Ask for quotes and page numbers behind every claim, tell it not to calculate when extracting tables, and tell it to say when something is unreadable rather than guess. Use it to find questions, not to supply final numbers.

Does AI replace a quality of earnings report?

No. Under SBA SOP 50 10 8.1, a 7(a) acquisition of $3 million or more needs an independent QoE ordered by the lender. AI tools and buyer-built models are for deciding which deals deserve that spend.
